Terms of service

Agreement

By requesting a quote, submitting payment, or using our licensing services, you agree to these Terms of Service and our Refund Policy and Privacy Policy. If you are accepting on behalf of a company, you represent that you have authority to bind that organization.

Our role and Microsoft's terms

M365 Deals is an authorized Microsoft Solutions Partner / Cloud Solution Provider. We resell and provision genuine Microsoft 365 subscriptions; Microsoft remains the licensor of the software and online services.

Your use of Microsoft 365 is also governed by Microsoft's applicable agreements, including the Microsoft Customer Agreement (where applicable), Microsoft Product Terms, and the Universal License Terms for software components. You must comply with Microsoft's acceptable use and licensing rules (including user counts, downgrade rights, and geographic restrictions). Quotes and pricing

• Written quotes (email or PDF) are valid for seven (7) calendar days unless we state a different expiry. After that, prices, seat minimums, and promotions may change.
• Displayed website prices are indicative; your final quote may include taxes (VAT/GST), currency rounding, or volume adjustments.
• Quotes are not binding until we confirm payment instructions and you complete payment as instructed.

Orders, payment, and fulfillment

• Orders are fulfilled after we confirm cleared payment. We do not start license provisioning on credit unless we have agreed in writing (typically for larger enterprise orders).
• Licenses and activation guidance are delivered by email, usually within one (1) to twenty-four (24) hours on business days in ICT/SGT.
• You are responsible for providing an accurate admin email, tenant details, and company information for invoices and Microsoft Partner Center records.

Subscription term and auto-renewal

Subscriptions are sold for the term stated on your quote or invoice (monthly or annual). Under Microsoft's NCE model, annual subscriptions renew automatically for another twelve (12) month term unless you request non-renewal before the renewal date. Unless you notify us in writing with enough notice (at least fourteen (14) calendar days before renewal, unless your quote states otherwise), we will renew and invoice at then-current pricing. We will send renewal reminders where practicable, but you are responsible for telling us if you do not wish to renew.

Monthly subscriptions continue month-to-month until you or we cancel in line with Microsoft billing cycles and our Refund Policy.

Support scope

Standard orders include help with license delivery and basic activation guidance. Migration, tenant design, security hardening, and end-user training are separate services unless explicitly included on your quote.

Acceptable use

You may not resell licenses in breach of Microsoft policy, use licenses for illegal activity, or attempt to circumvent user or tenant limits. We may suspend service and report abuse to Microsoft where required.

Limitation of liability

To the fullest extent permitted by law, M365 Deals's total liability for any claim relating to a specific order is limited to the amount you paid us for that order. We are not liable for indirect, incidental, special, or consequential damages (including lost profits, data loss, or business interruption), even if advised of the possibility.

We do not guarantee uninterrupted Microsoft cloud services; outages and changes are controlled by Microsoft. Nothing in these Terms excludes or limits liability that cannot be excluded under mandatory law (including consumer protection laws in Thailand or Singapore where they apply to you).

Indemnity

You agree to indemnify us against claims arising from your misuse of licenses, breach of Microsoft terms, or inaccurate information you provided, except where caused by our gross negligence or willful misconduct.

Governing law and disputes

• If your billing address or primary place of business is in Thailand, these Terms are governed by the laws of Thailand. Courts in Bangkok, Thailand have non-exclusive jurisdiction, except where Thai law gives you mandatory rights to bring proceedings elsewhere.
• If your billing address or primary place of business is in Singapore, these Terms are governed by the laws of Singapore. Courts in Singapore have non-exclusive jurisdiction, except where Singapore law gives you mandatory rights to bring proceedings elsewhere.
• For customers elsewhere, these Terms are governed by the laws of Singapore, without regard to conflict-of-law rules, and the courts of Singapore have non-exclusive jurisdiction, unless mandatory local law requires otherwise.

Changes

We may update these Terms from time to time. Continued use after the updated date constitutes acceptance of the revised Terms for new orders. Existing paid terms for an active subscription are governed by the Terms in effect when you paid, except where law requires otherwise.
